Agreement To Terms
These Terms and Conditions form a binding agreement between you and Palme Design Co. for access to and use of the Studio Site Club membership program and any related webpages, dashboards, and communication channels. By purchasing or accessing the membership, you agree to these Terms. If you do not agree, do not purchase or access the membership. Supplemental terms may apply to specific features and are incorporated by reference. We may update these Terms at any time. The Last updated date reflects the current version. Continued use of the membership after changes means you accept the updated Terms.

Studio Site Club is a maintenance and priority support membership for past Palme Design Co. Showit website clients. Core benefits include quarterly link checks, Showit feature updates, priority Voxer access, and 3 monthly credit allotments called Picks that members can exchange for defined services from the Pick Menu. The membership is not a custom website project, a full rebrand, or an unlimited services retainer. Scope is limited to the Pick Menu and items otherwise agreed in writing.

You must be at least 18 and an owner or authorized representative of the enrolled website. You agree to provide accurate information and keep it current. Access credentials to any dashboard or shared workspace are personal and may not be shared, sublicensed, or sold.
Subscriptions, billing, and pricing. Monthly, quarterly, and yearly recurring plans are available. Founding pricing may be offered for a limited time, as shown at checkout. Standard pricing applies after the stated period unless otherwise shown at checkout. Payments are processed via Thrivecart using the processor shown at checkout. You authorize recurring charges until you cancel under the cancellation section. Taxes are charged where applicable. If a payment fails, we may reattempt charges, notify you, and suspend services until payment is resolved. We may change prices for future terms. Active members will be notified prior to renewal when required by law. Any coupon, trial, or launch incentive follows the specific rules shown at checkout.

Credits and usage.
Each billing cycle, members receive three credits. Each service in the Pick Menu is assigned a credit value and we may update the menu or values to maintain service quality. Unused credits roll for up to three months with a maximum bank of nine credits. An additional credit may be required for expedited delivery where offered. Upon cancellation, any banked credits remain usable for 14 days after the current paid term ends and then expire. Credits have no cash value, are not transferable, and cannot be resold.

Delivery, turnaround, and revisions.
Your personalized Notion dashboard link and next steps are delivered by email within 24 to 48 business hours after purchase. Typical delivery for a submitted Pick bundle is five business days per the scope defined in the Pick Menu. Timelines may adjust based on your responsiveness, complexity, or volume. You must provide timely inputs, logins, content, approvals, and files. Delays in inputs pause timelines. One reasonable revision per delivered Pick is included if requested within seven days of delivery. New requests or out of scope work may require additional credits.

Included services versus out of scope.
Included services are limited to the Pick Menu and any add-ons purchased at checkout. Examples of out of scope items include full custom redesigns, complex animations beyond native Showit capabilities, tasks that require more than 1 hour of time, advanced development, copywriting beyond stated inclusions, third party vendor fees, or work that would require a separate project agreement.

Communication and support.
Priority support is provided through Voxer and email during normal business hours. We aim to respond within one business day. Office hours are provided as listed on your dashboard. We may maintain a ticket or request log in Notion or a comparable system.

Member responsibilities.
You agree to provide accurate brand assets, permissions, and platform access, to maintain backups and security for your website and third party services, to comply with content and licensing rules for any materials you supply, and to use the membership for your own enrolled website. Access is single business only unless otherwise agreed in writing. Client must respond promptly to all messages to keep membership running smoothly. If Client has not responded within 1 month of Company's communication, Client will be off-boarded.

Intellectual property and license.
All materials we provide, including templates, dashboards, videos, documents, processes, and graphics, are owned by us or our licensors. We grant you a limited, non-transferable license to use materials solely for your business's internal use during an active membership. You may not copy, share, sell, sublicense, or create derivative works from our materials except as expressly allowed. Your website content and data remain yours.

Cancellation, pause, and renewal.
You may cancel at any time inside your checkout provider portal or by contacting support. Cancellation stops future renewals. Access continues through the current paid term. Credit rules described above apply. Upon rejoining, Client will be subject to current rates. A pause option may be offered at our discretion. During a pause, no new credits are issued and access to services is suspended. Banked credits remain frozen until reactivation, subject to the rollover cap and time limits. Subscriptions renew automatically until canceled.

Refunds.
Because the membership includes reserved capacity and digital access, fees are generally non refundable once access is delivered. If no credits have been used and you request within seven days of your first purchase, we may refund the first term at our discretion. Refunds are not provided on renewals except where required by law.

Third party tools and access.
We may use Notion, Showit, Thrivecart, Voxer, Zoom, Loom, Google Drive, and similar tools to deliver the membership. These tools are provided as is by their providers. You are responsible for your accounts and compliance with their terms. We are not liable for outages or changes to third party services.

Privacy.
Our collection and use of personal information follows our posted Privacy Policy. By using the membership you consent to that policy. Do not share credentials or sensitive information through unsecured channels.

Disclaimers.
Services are provided as is and as available. We make no guarantee of sales, bookings, rankings, or other business outcomes. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non infringement.

Limitation of liability.
To the fullest extent permitted by law, in no event will we be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business, arising from or related to the membership. Our total liability for any claim will not exceed the amount you paid for the membership in the three months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification.
You agree to defend, indemnify, and hold harmless Palme Design Co. and its owners, officers, employees, and contractors from any claims, losses, damages, liabilities, including legal fees, arising from your misuse of the membership, breach of these Terms, violation of law, or infringement of third-party rights. We may assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate.

Force majeure.
We are not responsible for delays or failure to perform due to events beyond our reasonable control, including natural disasters, outages, labor disputes, acts of government, or failures of third-party platforms.

Modifications and availability.
We may change or discontinue any feature of the membership to maintain quality or compliance. We cannot guarantee uninterrupted availability of third-party tools or the internet. We have no obligation to update information on any site or dashboard.

Governing law and dispute resolution.
These Terms and your use of the membership are governed by and construed in accordance with the laws of the State of Idaho applicable to agreements made and performed entirely within the State of Idaho, without regard to its conflict of law principles. The parties will first attempt to resolve disputes informally within thirty days after written notice. If unresolved, the dispute will be submitted to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association and, where appropriate, the AAA Consumer Rules. The arbitration will occur in Kootenai County, Idaho, or by documents, phone, or online as permitted by the AAA rules. The arbitrator must follow applicable law, and any award may be confirmed in a court with jurisdiction. Each party waives the right to a jury trial. Claims must proceed on an individual basis only and not as a class or representative action. A party may seek injunctive relief in court for intellectual property or confidentiality violations. If a dispute proceeds in court rather than arbitration, the dispute shall be commenced or prosecuted in the state and federal courts located in Kootenai County, Idaho, and the parties consent to personal jurisdiction and venue in those courts. Any dispute related to or arising from the membership must be brought within one year after the cause of action arose.

Severability, waiver, assignment, entire agreement.
If any provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce any provision is not a waiver. You may not assign your rights without our written consent. These Terms, together with any checkout terms, order forms, or policy links referenced here, constitute the entire agreement for the membership and supersede prior discussions.
